Version: 0.1 (draft) · Effective: [date]
This Agreement is between [RacquetLink legal entity name] ("RacquetLink", "we") and the person or business that registers a venue ("Owner", "you"). Clicking "I agree" during registration means you accept it.
1. What RacquetLink provides
1.1 Software to run your venue: a booking calendar, walk-in and phone booking entry, recurring bookings, closures, staff accounts, a revenue summary, payouts, and messaging with players.
1.2 A listing in the RacquetLink player app, where players can find your venue, book and pay online.
1.3 You may use the venue software at no charge. RacquetLink earns only the commission in §5.
2. Registration and verification
2.1 You register on the RacquetLink website. You must be at least 18 and authorised to operate the venue you register.
2.2 You agree to give accurate information: venue name, address, courts, rates, house rules, photos and contact details. You must keep it up to date.
2.3 In-person inspection. Before approval, a RacquetLink representative will contact you by phone to arrange a visit to your venue. RacquetLink approves a venue only after a satisfactory inspection. We may reject an application and will give you a reason. You may correct the issue and resubmit as many times as needed.
2.4 Until your venue is approved, you can view your application status and contact RacquetLink support. You cannot take bookings, add staff or appear in the player app.
2.5 Changing your venue's name or address after approval sends the venue back for review. Other details, such as hours, rates, photos, description, amenities, house rules and policies, can be changed at any time.
3. Staff
3.1 You may invite staff by email. Staff can view and manage bookings, enter walk-ins, reschedule and cancel bookings, and manage closures. Staff cannot see revenue or payouts, change venue settings or rates, override prices, or manage other staff.
3.2 You are responsible for everything your staff do in RacquetLink. Remove a staff member's access as soon as they should no longer have it.
4. Your venue's policies
4.1 You set your own cancellation and refund policy, slot rules, rates and house rules. The default policy is non-refundable.
4.2 Players see your policy before they pay. Each booking keeps the policy in force when it was made. A later change to your policy does not affect existing bookings.
4.3 Your cancellation policy also applies when you cancel a booking. However, you must give a reason for every cancellation, and RacquetLink may review cancellation patterns (see §8). [Team decision to confirm: consider requiring a full refund when the owner cancels. Without it, players may dispute charges and complaints become more likely.]
4.4 You are responsible for your premises, your courts, the safety of people at your venue, and compliance with local laws, permits and regulations. RacquetLink's inspection does not transfer that responsibility to us.
5. Commission and fees
5.1 RacquetLink charges a commission of 8% on the amount a player pays online through RacquetLink. If a player pays only a downpayment online, commission applies only to the downpayment. Balances paid at your venue, walk-ins and other bookings you enter yourself carry no commission.
5.2 Payment processing fees (charged by our payment provider for e-wallet and card payments) are deducted from your share. The player pays exactly the price you set.
5.3 RacquetLink may change the commission rate with at least [30] days' written notice. A change does not affect bookings already made.
5.4 Each month RacquetLink provides a commission statement showing bookings, amounts collected, fees and commission.
6. Payouts
6.1 Online payments for your venue are credited to your RacquetLink balance, net of commission and processing fees.
6.2 You may request a withdrawal to a bank account or e-wallet you register. [Minimum withdrawal amount and processing time: to be set.]
6.3 Held funds. Money for bookings that have not yet started is held. It becomes available to withdraw once the booking's start time has passed. This ensures refunds can always be paid.
6.4 If our payment provider cannot process payouts automatically, RacquetLink will process withdrawal requests manually within [N] working days.
7. Receipts and taxes
7.1 RacquetLink issues players a booking receipt that acknowledges payment. It is not a BIR Official Receipt. You remain responsible for issuing your own official receipts and for your own tax obligations.
8. Suspension
8.1 RacquetLink may suspend a venue for: false or misleading information, safety concerns, repeated or abusive cancellations, player complaints, fraud, or breach of this Agreement.
8.2 When a venue is suspended, it is hidden from the player app and cannot receive new online bookings. Every future online booking is cancelled and fully refunded to the player, regardless of your cancellation policy. Held funds are used for those refunds. You can still use the venue software for walk-ins.
8.3 We will tell you the reason for a suspension. You may contact RacquetLink support to appeal.
9. Leaving RacquetLink
9.1 You may close your venue or account at any time. The venue is hidden immediately and receives no new bookings.
9.2 Each future online booking must be either honoured or cancelled with a full refund. Your venue and account close once no future bookings remain and your balance has been withdrawn.
10. Personal data
10.1 You will receive personal data about players, such as names and mobile numbers. Use it only to manage their bookings at your venue. Do not use it for unrelated marketing, and do not share it with others. See the RacquetLink Privacy Policy.
11. Limitation of liability
11.1 RacquetLink provides the software "as is". We work to keep it available and accurate but do not guarantee uninterrupted service. To the extent the law allows, our total liability to you is limited to the commission you paid us in the [three] months before the claim.
11.2 RacquetLink is not a party to the agreement between you and your players for the use of your courts.
12. Changes and governing law
12.1 We may update this Agreement. We will notify you of material changes, and you will be asked to accept the new version to keep using RacquetLink. We keep a record of which version you accepted and when.
12.2 This Agreement is governed by the laws of the Republic of the Philippines. Disputes go to the courts of [city].
